    Brand Ambassador Program Terms & Conditions

    By submitting your application, you acknowledge that you have read and agreed to the terms outlined in our Brand Ambassador Agreement. You will be notified of your application status within 30 days.

    Ambassador Requirements:
    • Ambassadors will receive a unique discount code or link to share via email and social media.
    • To qualify, you must have an active, public Instagram account.
    • You must be 18 years of age or older and based in the U.S.
    Store Credit & Commissions:
    • Commission Rate: Ambassadors earn a 15% commission on all sales made using their unique discount code, excluding discounts, shipping, refunds, and taxes.
    • Commissions are paid in the form of store credit that can be used at www.upcountryinc.com.
    • We reserve the right to reverse commissions for returns, order cancellations, or disputed/fraudulent orders.
    • No commission will be earned on purchases made using your own unique code or link.
    Payment Timing:
    • Store credit for commissions earned will be issued at the end of each month for the previous month's sales. For example, commissions earned in March will be issued by the end of April.
    Program Rules:
    • Ambassadors are strictly prohibited from sharing their discount codes on coupon sites. Any ambassador found doing so will be immediately removed from the program, and any pending commissions will be forfeited.
    • Ambassadors must comply with all applicable federal, state, and local regulations, including laws governing marketing emails (such as the CAN-SPAM Act).
    • Up Country Inc. reserves the right to suspend or terminate any ambassador at any time, without prior notice.

    Up Country Inc. Brand Ambassador Agreement

    Up Country Inc., a registered trademark of Up Country, Inc., actively supports the promotion of its products through selected and respected members of the pet community. This agreement outlines the terms and conditions of your relationship with Up Country Inc. as a United States-based Brand Ambassador.

    By applying to become a Brand Ambassador for Up Country Inc., you agree to the following terms:

    1. Endorsed Products

    Endorsed products are products sold under the Up Country Inc. brand name, including but not limited to collars, leashes, and accessories.

    2. Ambassador Requirements

    Your requirements as a Brand Ambassador are outlined in the Ambassador Requirements section presented to you during your online application and on your Ambassador dashboard, and are incorporated into this agreement by reference.

    Requirements include:

    • Have an active, public Instagram, TikTok, or other social media account for your dog with at least 500 followers and 3+ posts per week.

    • Follow Up Country Inc. on Instagram @upcountryinc.

    • Be at least 18 years of age.

    • Be based in the United States.

    • Ambassadors are expressly prohibited from sharing discount codes on coupon sites. If an Ambassador’s code is found on a coupon site, their participation in the program will be terminated, and any store credit will be rescinded.

    • Ambassadors must comply with all federal, state, and local regulations, including applicable marketing laws (such as the CAN-SPAM Act) and anti-spam laws.

    As a Brand Ambassador, you are expected to drive at least one sale per 90-day period that results in a commission. Ambassadors who do not meet this requirement will be considered inactive, and their ambassador account and unique discount code will be deactivated.

    Ambassadors who do not follow the requirements may be subject to termination, suspension, and/or the rescinding of all store credit.

    3. Contract Territory

    You will be a United States-based Brand Ambassador, and your territory is limited to the United States and all U.S. territories.

    4. Promotion of Endorsed Products

    You agree to use your best efforts to promote the Endorsed Products in a manner consistent with its authorized use, as outlined on product labels. Approved channels for promotion include:

    • Your own website or blog;

    • Emails to friends and family (no spam);

    • Social media platforms such as Facebook, TikTok, Instagram, X (Twitter), and YouTube.

    5. Prohibited Content

    As an Ambassador, you agree that you will not post content on any platform that:

    • Is pornographic, sexually explicit, or contains profanity or nudity;

    • Promotes violence, hate speech, or discrimination based on ethnicity, race, gender, religion, profession, or age;

    • Promotes alcohol, illegal drugs, tobacco, firearms, or other dangerous activities;

    • Endorses obscene or offensive content, or promotes hate groups;

    • Defames or misrepresents others or contains disparaging remarks about people or entities;

    • Violates any law or goes against the positive image and good will that Up Country Inc. wishes to maintain.

    6. Indemnification

    You agree to hold Up Country Inc., its officers, agents, assignees, and employees harmless from any liability arising from the use or promotion of any Endorsed Product.

    7. Relationship

    This agreement does not create an employer/employee relationship or a contractor relationship.

    8. Confidentiality/Use

    If Up Country Inc. shares any confidential information with you, you agree to maintain its confidentiality. Unauthorized disclosure of confidential information will terminate this agreement and may result in legal action.

    9. Intellectual Property

    You acknowledge and agree that any work product developed in connection with the performance of your services (including social media posts, images, videos, and taglines) will be owned by Up Country Inc. and can be used freely in any media now known or hereafter discovered, without compensation, for any purpose.

    • You may not use any copyrighted material from other companies to promote Up Country Inc.’s products.

    • Up Country Inc. is not responsible for any intellectual property disputes arising from the use of third-party content.

    10. Term and Termination

    This agreement takes effect upon your application and remains in force for one year. The agreement will automatically renew for successive one-year terms unless either party provides written notice of termination at least 30 days before the end of the current term. Either party may terminate this agreement at any time with or without cause.

    11. Governing Law

    This agreement will be governed by the laws of the State of Rhode Island. In case of a dispute, you agree to submit to jurisdiction in Rhode Island courts.

    12. Commission Credit

    As a Brand Ambassador, you earn a 15% commission on all Net Sales you generate through your marketing efforts. Net Sales are sales minus any discounts, shipping, taxes, or refunds. Commissions are paid as store credit at www.upcountryinc.com.

    • To receive commission, customers must purchase through your unique link or use your unique discount code at checkout.

    • Ambassadors cannot earn commission on their own orders.

    • Commissions are paid at the end of the month for the previous month’s earnings. For example, commissions earned in January will be paid out at the end of February.

    The minimum payout each month is $5.

    13. Removal

    Up Country Inc. reserves the right to remove any Ambassador from the program at any time.

    14. Modification

    Up Country Inc. may change the terms and conditions of this agreement with 30 days’ notice. If you do not agree to the changes, you may terminate the agreement. Continued participation after the notice period implies acceptance of the changes.

    15. Entire Agreement

    This agreement constitutes the entire understanding between the parties and supersedes all previous agreements.

If you are asked to provide personal information when using this website, please be assured that it will only be used in accordance with this privacy statement. We may change this policy from time to time, so please check back here periodically.

    • information drawn from any of the above to create a consumer profile that includes personal preferences, interests, trends or similar information.

    We may require this information for one or more of the following business purposes:

    • for product fulfillment and shipping
    • to fulfill the reason for which the information was provided
    • to improve our customer service and marketing functions
    • to improve our website functionality, offerings, processes, and imagery
    • to provide you with email alerts or other notices regarding our products or news or special offers that may be of interest to you
    • to carry out our obligations and enforce our rights arising from any contract entered into between you and us, including billing and collections

    • to share with third party service providers for business purposes, but only with prior approval from you in the form of written permission or via the rules and regulations/official rules posted for a particular sweepstakes, contest, or promotion you have willingly entered
